Please read these Terms carefully as they govern your use of Shall Unite, including all of Shall Unite’s websites, software applications, and associated services (the “Services”) that incorporate or link to these Terms and any other material that is created by Shall Unite and made available through its Services (the “Content”).
By signing up for or otherwise using the Services, You agree to these Terms. If You do not agree to these Terms, then You must not use the Services or access any Content.
These Terms are between You and Shall Unite Pte Ltd (the “Company”) with its registered address at 13 Stamford Road, #02-11 Capitol Piazza, Singapore 178905.
Please note that the English version of the Terms reflects the most up-to-date set of policies and should be used as the master document.
By using the Services, if You are under 18 years old, You affirm that You have obtained parental or guardian consent to enter into these terms. Additionally, to use the Services and access any Content, You represent that any registration and account information You submit to the Company is true, accurate, and complete.
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear singular or plural.
For the purposes of this Terms:
Account means a unique account created for You to access our service or parts of our service and the sub-account(s) You may create for your children.
Advertising shield is a paid service by Us to remove advertising from your Shall Uniteaccount. Please see Advertising Shield in Our Privacy Policy for more details.
Childrenmean your child or children, or, given the context, the child or children of other parents.
Classmatesmean the children participating in the same classroom(s) as your Children.
Company(referred to as either “the Company”, “We”, “Us,” or “Our” in this Agreement) refers to Shall Unite Pte Ltd, 13 Stamford Road, #02-11 Capitol Piazza, Singapore 178905. For the purpose of the General Data Protection Regulation (“GDPR”), the Company is theData Controller.
Community Standards mean the Shall Unite Community Standards . These guidelines outline our standards regarding the Content You post to Shall Unite and your activity on Shall Unite and other Shall Unite Products.
Content refers to any material created by Shall Unite and made available through its Services.
Cookies are small files placed on your computer, mobile device, or any other device by awebsite, containing the details of your browsing history on that website among its manyuses.
Country refers to the place of your residence. Data Controller for the GDPR
Data Controller refers to the Company as the legal person who determines the purposes and means of processing Personal Data, alone or jointly with others.
Device means any device that can access the service, such as a computer, a cellphone, a digital tablet, etc.
Marketplace refers to where You can buy Services and Products from Shall Unite.
Member Member (referred to as either “Member” or “User” in this Agreement) means the individual accessing or using the service, the company, or other legal entity on behalf of which such individual is accessing or using the service, as applicable. See the You definition below.
Personal Data is any information that relates to an identified or identifiable individual asdefined under the GDPR and/or as defined under any other applicable privacy law of your country’s policies.
Products refer to Shall Unite Services, proprietary items, third-parties items and/or services sold on Our Marketplace.
Registration Process refers to your sign-up to the service. Given the nature of the Service, We strive to ensure that the Parent’s identity is genuine. Please refer to the section “Our Rules” in this Terms of Use for further details.
School Corner refers to the space on our Website where You can interact with Teachers and Schools, attend dynamic online classes, and much more
Services refer to the Shall Unite Websites, software applications, and associated services provided (For example, the Advertising Shield or the Storage).
Service Provider means any natural or legal person who processes the data on behalf of the Company. It refers to third-party companies or individuals employed by the Company to facilitate the service, provide the service on behalf of the Company, perform services related to the service, or assist the Company in analyzing how the service is used. For the purpose of the GDPR, Service Providers are considered Data Processors.
System refers to the Enterprise Resource Planning (“ERP”) and the administrative andfinancial organization of the Company.
Treasure refers to a stored credit system where parents can purchase Our vouchers to pay for Our Services or Products. Parents can top up the value in the Treasure and distribute the stored credit among their children. Please see more details about Treasure in our Privacy Policy .
Usage Data refers to data collected automatically, either generated by service usage or from the Service infrastructure itself (for example, the duration of a page visit).
Website refers to Shall Unite, accessible from www.shallunite.com and any other associated website using [prefix].shallunite.[extension].
You mean the individual accessing or using the service, company, or other legal entity on behalf of which such individual is accessing or using the service, as applicable. Because of the nature of the service, parents are responsible for their children’s actions on the service. Children registered by You are considered as an extension of You. Therefore, You collectively mean yourself and your children. Under GDPR, You can be referred to as the Data Subject or the Member as You are theindividual using the service.
Shall Unite creates technologies and services and uses technologies that allow people to interact with each other, create communities, provide education support, and grow businesses. Our Terms govern your use of the Services and the Products offered by Shall Unite, except to the extent where
we expressly state that separate terms (and not these) apply. We do not charge You to use Shall Unite or the other Products and Services covered by these Terms. Instead, businesses and organizations pay us to show You ads for their products and services. By using our Products, You agree that we can show You ads that we think will be relevant to You andyour interests. We use your data to help determine which ads to show You.
However, if You do not want to see advertising when using Shall Unite, You can subscribe to our Advertising Shield (Please see details in Our Privacy Policy. ).
We do not sell your data to advertisers, and we do not share information that directly identifies You (such as your name, email address, or other contact information) with advertisers unless You give us specific permission. Instead, advertisers can tell us things like the kind of audience they want to see their ads, and we show those ads to people who may be interested. In addition, we provide advertisers with reports about the performance of their ads that help them understand how people interact with their Content. See Section 2 below to learn more.
Shall Unite is a central platform facilitating communication, networking, education, andentertainment for children and providing a secure one-stop solution where children, parents, and teachers can exchange ideas and content with other children, parents, and teachers.At Shall Unite, we differ from other social networks in that we have dedicated our platform entirely to teachers, parents, and their children. Our efforts and actions make Shall Unite a unique place for them to forge partnerships and interact. Our ethics lie at the heart of what we provide and are crucial to providing a respectful environment where we can fulfill an educative mission with an open mind and a slice of fun.
We provide:
A sharing space whee You can express yourself, post ideas, comments, pictures, videos, etc., and share with your friends who registered to Shall Unite.
A School Corner where You can interact with Teachers and Schools, attend dynamic online classes, and much more.
A Marketplace where You can buy Services and Products from Shall Unite. We use the data we have to, for example:
Nothing is free on this planet. When You use Shall Unite for free, we still have to pay for theinfrastructure, salaries, etc. Instead of asking for payments from our members for our Services, You agree that we can show You ads that businesses and organizations pay us to promote, including Our Products. We use your data to show You more relevant ads, such as information about your activity and interests. If You do not want to see advertising, You may subscribe to Our Advertising Shield (Please see details in Our Privacy Policy. ) on the Marketplace of Shall Unite.
Your privacy is important to us. Therefore, we do not share information that directly identifies You (information such as your name or email address that can be used to contact You or identify who You are) unless You give us specific permission.
We can show You relevant and valuable ads without telling advertisers who You are to fund ourservices. However, We do not sell your data to advertisers. Instead, We allow them to tell us things like their business goal and the kind of audience they want to see their ads (for example, people between 30 to 60 who like gardening. We then show their ad to people who might be interested. We also provide advertisers with reports about the performance of their ads to help them understand how people interact with their Content on and off Shall Unite. For example, we provide general demographic and interest information to advertisers (such as a man who lives in Singapore who saw an ad and likes TV series) to help them better understand their audience.
The Shall Unite platform members are categorized into four groups: Parents, children, teachers, and schools (other categories may be added later). Advertising that each category see is filtered to match that category. So, for example, children will only see advertising corresponding to their age, while parents, teachers, and schools will see other advertising kinds.
You control the types of ads and advertisers You see and the types of information we use todetermine which ads we show You by making adjustments on your own in your browser settings. You can refer to “Advertising” under the section on Detailed Information on the Processing of your Personal Data” in our Privacy Policy.
We provide these services to You and others to help advance our mission. In exchange, we need You to make the following commitments:
a. Who can use Shall Unite
Parents, Children, Teachers, and Schools. Because of the nature of our Community, we check identity to make sure that Parents and Teachers are real persons. Therefore, use your real name, provide accurate information about yourself, and never share your login and password.
b. Registration Process
During the registration process, You will be asked to take a picture of an identification document such as, for example, your National Identification Card or your Passport. The Company does not store these pictures, which are deleted immediately after the registration process is completed. Once the process is completed, a “Verified Member” badge is added to your profile.
You may choose to skip the above verification process. However, by doing so, You will not receive a “Verified Member” badge, and the other Members of Shall Unite will see that your profile has not been verified. If your profile is not verified, the Company reserves the right to limit your rights to view, publish, and share some information. In addition, we may not grant You access to some of our services for security reasons.
What could prevent your registration on Shall Unite
You will not be able to register for our Services, or we could have disabled your account for breaches of our Terms or Policies. As a result, You are prohibited from receiving our products, services, or software under applicable laws. For example, You are a convicted sex offender, or You intend to use, or previously did use in the past, Shall Unite to promote a religion or a political party.
c. What You can do and share on Shall Unite
We want people to use Shall Unite to express themselves and share Content that is important to them but not at the expense of the safety and well-being of others or Our community’s integrity. You, therefore, agree not to engage in the conduct described below (or to facilitate or support others in doing so):

e. The Company’s Proprietary Rights
The Services, Content, and Products provided by the Company are the property of the Company or the Company’s licensors. All Shall Unite trademarks, service marks, trade names, logos, domain names, and any other features of the Shall Unite brand (‘Shall Unite Brand Features’) are the sole property of Shall Unite or its licensors.
You can only use our copyrights or trademarks (or any similar marks) as expressly permitted by our Brand Usage Guidelines or with our prior written permission. In addition, You must obtain our written permission (or permission under an open-source license) to modify, create derivative works of, decompile, or otherwise attempt to extract source code from us.
a. Updating our TermsWe work daily to improve our Products and develop new features and services. Therefore, we may update these Terms from time to time to incorporate the changes. However, we will only make changes when necessary.
For example, we will inform You through the Product or email at least 30 days before these Terms are modified. Therefore, You will have the opportunity to review them before they go into effect unless changes are required by law. Our updated Terms will bind You if You continue to use our Products or Services.
Hopefully, You will stay with us. However, if You do not accept the changes, You can delete your account.
b. Suspending your account or terminating itBecause of the nature of the Shall unite Service, we must take all measures to keep Our Community a safe place for all Our members.
If we believe that You have evidently, seriously or repeatedly breached our Terms or Policies, including in particular our Community Standards , we may suspend or permanently disable access to your account. We may also suspend or disable your account if You repeatedly infringe other people’s intellectual property rights or where we are required to do so for legal reasons.
Where we take such action, we will let You know and explain any options You have to request a review, unless doing so may expose us or others to legal liability; harm our Community of Members; compromise or interfere with the integrity or operation of any of our services, systems or Products; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons.
If You or if We terminate these Terms, or if We suspend your access to the Services, You agree that the Company shall have no liability or responsibility to You and will not refund any amounts that You have paid for the Services, except as expressly provided in these Terms or otherwise agreed by us at our discretion.
If You delete or we disable your account, these Terms shall terminate as an agreement between You and us, but the following provisions will remain in place: 3(c) (The Permissions You grant us), 3(d) (The Company’s Proprietary Rights), 4(b) (Suspending your account or Terminating it), 4(c) (Liability Limits), 4(d) (Disagreements)and 4(e) (More).
c. Limitation of Liability and Warranty DisclaimersWe will exercise professional diligence in providing our Products and services to You and keeping a safe, secure, and error-free environment. Provided that We have acted with professional diligence, We do not accept responsibility for losses not caused by our breach of these Terms or otherwise by our acts; losses that are not reasonably foreseeable by Us; and events beyond our reasonable control.
We shall not be liable to You for any lost profits, revenues, business opportunities, goodwill, indirect or consequential loss, and punitive damages. Our liability shall be limited to the fullest extent permitted by applicable law. Our aggregate liability arising out of or relating to these terms, if any, is limited to the amount of fees received by Us in respect of the services giving rise to such breach or, where relevant, shall not exceed the amount of credit then standing in your Treasure account.
Our Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We also disclaim any express, implied, and statutory warranties regarding the Content we provide, including warranties of satisfactory quality, merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service or Content is free of malware or other harmful components. We make no representation regarding, nor do We warrant or assume any responsibility for, any thirdparty applications (or their Content), User Content, devices, or any product or service advertised, promoted, or offered by a third party on or through our Services or any hyperlinked website. We shall not be responsible for any transactions between You and any third-party providers.
While we have explicit content filtering features, the use of these features may still result in some explicit content being served, and You should not rely on such features to filter all explicit Content. This section applies to the fullest extent permitted by applicable law.
d. DisagreementsWe do Our best to provide easily understandable rules. However, You should know what mayhappen and what law applies to You if a disagreement occurs.
These Terms and all contractual and non-contractual obligations arising out of or connected to them are governed and construed following Singapore Law.
If You are a consumer and habitually reside in a Member State of the European Union, the laws of that Member State will apply to any claim, cause of action, or dispute You have against Us that arises out of or relates to these Terms, our Privacy Policy:. or our Services or Products (“claim”). You may resolve your claim in any competent court in that Member State jurisdiction over the claim. In all other cases, You agree that the claim must be resolved in a competent court in the Republic of Singapore and that Singapore law will govern these Terms and any claim without regard to conflict of law provisions.
a. These Terms make up the entire agreement between You and the Company regarding your use of our Products and Services. Therefore, they supersede any prior agreements.
b. Some of the Products and Services we offer are also governed by additional terms. If You use any of these Products or Services, we will offer You the opportunity to agree to additional terms that will become part of our agreement with You. For instance, if Youaccess or use our Products and Services for commercial or business purposes, such asbuying ads, selling products, developing apps, etc., or using our measurement services,You must agree to our Terms. In addition, if You post or share Content containing music,You must comply with our Community Standards .To the extent any additional termsconflict with these Terms, the additional terms shall govern to the extent of the conflict.
c. If any portion of these Terms is found to be unenforceable, the remaining portion willremain in full force and effect. Therefore, it will not be considered a waiver if we fail toenforce any of these Terms. Any amendment to or waiver of these Terms must be madein writing and signed by us.
d. The Company may assign any or all of these Terms and may assign or delegate, in whole or in part, any of its rights or obligations under these Terms. You will not transfer any of your rights or obligations under these Terms, in whole or in part, to any third party.
e. If it is memorialized, You may designate a person (called a legacy contact) to manageyour account. Only your legacy contact or a person You have identified in a valid will orsimilar document expressing explicit consent to disclose your Content upon death orincapacity will be able to seek disclosure from your account after it is memorialized.
f. These Terms do not confer any third-party beneficiary rights.
g. We may need to reclaim or require You to change your username for your account incertain circumstances (for example, if someone else claims the username and it appearsunrelated to the name You use in everyday life). We will inform You in advance if wehave to do this and explain why.
h. We always appreciate your feedback and other suggestions about our Products andServices. But You should know that we may use them without any restriction orobligation to compensate You, and we are under no obligation to keep them confidential.
